TIVOSGT GLOBAL TRADING SAPI DE CV

This agreement between TIVOSGT GLOBAL TRADING SAPI DE CV ("TivosGT"), located at Blvd Adolfo López Mateos 172, 5th Floor, Merced Gómez, Benito Juárez, CP 03930, CDMX, Mexico, and the user of the platform http://globaltrading.mx and/or its subdomains (the "Site"), describes the general terms and conditions (the "Terms and Conditions") that govern and apply to the use of the content, products, and services offered by TivosGT through the Site, which it owns.

Any person wishing to access and/or use the Site must be subject to and adhere to these Terms and Conditions without reservation. Therefore, TivosGT recommends reading them carefully. By using the Site, the User represents and acknowledges that they have read, accepted, and agree to be bound by these Terms and Conditions and any future modifications. The User expressly, unequivocal, and irrevocable acceptance of the Terms and Conditions is given by activating the corresponding checkbox on the Site with the legend "I have read and accept the Terms and Conditions of Use" (when accepted electronically) or by signing them (when provided in printed form). In any case, any person who does not accept these Terms and Conditions must refrain from using the Site and/or purchasing TivosGT products and services and, therefore, cannot be considered a User.

I. DEFINITIONS

For the purposes of these Terms and Conditions, the words indicated below shall have the meanings indicated herein, whether written in the singular or plural:

• Specific Agreements: Obligations in addition to those contained in these Terms and Conditions, which are in effect and applicable to the User.

• Authentication: The act of accessing the Site as a User by entering your "Username" and "Password" in the Site's authentication section.

• Content: All material on the Site, including, but not limited to: text, data, articles, designs, logos, trademarks, forms, documents, graphics, photos, images, content in general, its organization and compilation, source code, software, and any other information contained on the Site.

• Password or access code: An alphanumeric combination designated by the Client and registered in TivosGT's databases, which is required for authentication on the Site.

• TivosGT Contracts: Lease, loan, credit, sale, promise to purchase, factoring, pledging, commercial commission, and/or any other type of contract, legal instrument, and/or mandate that may be entered into on the Site between the User and TivosGT.

• Account: Instance of the Site that the User accesses upon authentication; it corresponds to the User's personal page at http://globaltrading.mx, allowing access to various services, including the User Profile, information registration, document submission, historical and future events related to the services used on the Site, documents shared and/or accepted on the Site, among others.

• Electronic Signature: Data in electronic form recorded in a data message, or attached to or associated with it, that identifies the User as the signatory in relation to the data message, including the PIN, access key to the Site, and the digital signature of the Account holder.

• Trademarks: Signs perceptible by the senses and capable of being represented with the name "TivosGT" and/or the logos that accompany it and/or are used separately on the Site that distinguish the products and/or services provided by TivosGT.

• Username: Name chosen by the User that identifies them when using the sections of the Site that require it and that is registered in TivosGT's databases.

• User Profile: Instance of the Site in which the User manages and publishes all of their personal information.

• Privacy Policy: Mandatory regulations regarding the protection of User information and personal data, freely provided to TivosGT for processing and proper provision and/or execution of the Services.

• User Registration: The process by which a Visitor successfully completes the registration process on the Site, enabling them to access certain and specific Content and to use the Services available on the Site. • Services: Request by the User, granting by TivosGT, and, in general, each and every one of the activities and transactions related to pure leasing carried out through the Site.

• Site: The digital platform available on the website http://globaltrading.mx and/or through any other subdomain, owned and operated by TivosGT, consisting of the Content and tools currently available therein and as modified from time to time.

• TivosGT: TIVOSGT GLOBAL TRADING SAPI DE CV, a commercial company legally incorporated under the laws of the United Mexican States, owner of the Site and the Trademarks, and provider of the Services.

• User/Client: A natural or legal person who wishes to carry out or carries out a transaction with TivosGT or completes their User registration on the Site, and having electronically or handwrittenly signed the Terms and Conditions and the Privacy Notice, is recognized as a User/Client, regardless of whether they are registered.

• Visitor: A person who has not successfully completed the User Registration process on the Site, nor has accepted the Terms, Conditions, and Privacy Notice, and therefore does not acquire the status of User/Customer. Visitors may browse certain pages and content on the Site; however, browsing certain content and sections is reserved solely for Site Users.

II. GENERAL ASPECTS

II.1. Use of the Site. The purpose of using the Site is to provide Users with a platform that allows them to access the Services offered by TivosGT effectively and efficiently.

II.2. Acceptance. By registering on the Site, the User acknowledges and declares that they have read, understood, and accepted the Terms and Conditions of Use of the Site in their entirety, agreeing to be bound by them and subject to applicable laws and regulations. Once acceptance of the Terms and Conditions has been selected, they will be binding and obligatory upon the parties when accepted electronically or "signed by hand" (when provided in printed form). If the User does not accept these Terms and Conditions, they must immediately refrain from accessing, browsing, or using the aforementioned site. They may also not use its services or the information available on the web pages comprising it.

II.3. TivosGT's Powers Regarding the Content of the Site. TivosGT may make changes to the Content and the Site at any time and without prior notice to Users. Furthermore, it is hereby acknowledged that the Site may contain technical and/or typographical errors, and that TivosGT is not and will not be liable for any damages arising from such inadvertent errors.

II.4. Specific Agreements. To access and use certain specific sections of the Site and the web pages comprising it, TivosGT may require the User to accept certain more specific terms and conditions, in addition to those contained in this document. The User will be informed of these specific terms and conditions in a timely manner, as appropriate, to obtain their authorization. If the User accepts these specific conditions, they will be binding and will be deemed to be additional to these Terms and Conditions, allowing, as the case may be, to replace, supplement, and/or modify this instrument. In the event of a dispute between the provisions contained in this document and one or more of those contained in multiple Specific Agreements, it will be understood that the terms and conditions contained in the latter will prevail over this document for the specific pages or sections to which they refer, and, in general, the terms and conditions set forth herein will continue to be valid and applicable. In the event that (upon request) the User does not accept the terms and conditions proposed in the Specific Agreements, TivosGT shall be fully authorized to deny said User access to the relevant specific sections of the Site and the web pages comprising it. TivosGT may change and/or restrict access to all or a section of the Site without prior notice to the User and without any liability, should the User believe that such action has caused them harm.

II.5. Electronic signature (authentication). The User may express their consent to accept the Terms and Conditions, as well as access the Site, by using an Electronic Signature, including their PIN, through Electronic Means. It is mandatory to complete all fields of the registration form with valid data and accurate, precise, and truthful personal information. Users undertake to update their Registration Data as necessary.

II.6. Autonomy of the Terms and Conditions. If any Term and/or Condition provided in this Site usage document is declared nonexistent, invalid, unenforceable, and/or in any way ineffective by the competent court, the other provisions of this instrument, as well as the rights and obligations arising from them, shall remain in full force and effect.

III. USE OF THE SITE AND ITS CONTENT

III.1. General. The User agrees to use the Content and the Site only for purposes within the legal and regulatory framework, in accordance with morality, good customs, and good faith, in harmony with public order, and in accordance with the Terms and Conditions of this document, as well as the specifications for each service contained in the Specific Agreements. TivosGT does not guarantee that the Content of the Site and the services provided through it are suitable for use and operation outside of the United Mexican States; therefore, if the User accesses this Site from a country other than the aforementioned, they understand and accept that access to and use of the Site is at their own risk, and they must ensure compliance with the laws and regulations specific to their jurisdiction.

III.2. User Prohibitions

The User understands and accepts that in addition to the prohibitions established in other sections of this document, as well as those contemplated in the Specific Agreements, there are specific prohibitions regarding the use of the Site and its Content. Therefore, the User may not:

1. Use the Site and/or its Content for purposes that violate the laws and regulations in force in the United Mexican States in harmony with international legislation, nor engage in any practice intended to violate the Law, morality, good customs, or the rights of any TivosGT User.

2. Distribute from the Site: information or content that is fraudulent, deceptive (including misleading advertising for other products or services not related to TivosGT), discriminatory, violent, threatening, harassing, defamatory, derogatory, immoral, obscene, or pornographic, which could, due to such nature, harm third parties and/or TivosGT; Information or content protected by intellectual property laws that affect third parties and/or TivosGT.

3. Use and/or hack the Site in any way that could damage, render useless, impair, affect, or overload the normal use of the Site or its services, and/or that could affect TivosGT's systems, platforms, software, and hardware.

4. Transmit or distribute on the Site any virus, program, or electronic element that could damage or impede the normal operation of the Site, its systems, or computer equipment, and in turn, interfere with their security, causing harm to TivosGT and/or third parties.

5. Prevent or interrupt third parties from using the Site.

6. Use third-party accounts and/or personal information without the owner's authorization.

7. Monitor, copy, or extract information from the Site, whether using automatic or manual processes.

8. Upload, publish, post, transmit, share, store, or make public on the Site or any other website any private or personally identifiable information of any TivosGT User, including names, addresses, telephone numbers, email addresses, Federal Taxpayer Registration Records, checking account and/or credit card information, among others.

9. Transmit the personal information mentioned in the previous point through emails, blogs, forums, or any other means of communication.

10. Misuse any information and content accessible from the Site, misuse being understood as any action that could undermine the fundamental rights and freedoms recognized by the Constitution; also, those that induce or promote criminal actions or induce states of anxiety and fear in third parties, among others.

Any violation of these provisions will entitle TivosGT to deactivate the User's Account and Registration, resulting in the expiration of these Terms and Conditions and the associated service, as well as denying the User access, in accordance with the policies set forth herein. This is without prejudice to TivosGT's right to pursue all civil and criminal actions aimed at protecting its legitimate rights and those of its Users.

IV. REQUIREMENTS TO BECOME A SITE USER/CUSTOMER

To become a TivosGT User/Customer through the Site, users must create an Account by selecting a Username and Password. Users must accept the Terms and Conditions to access the Site, using an Electronic Signature, including their PIN, or through various Electronic Means.

Users must complete all fields of the registration form with valid data and accurate, precise, and truthful personal information. Users agree to update their Registration Data as necessary. TivosGT will not be responsible for the accuracy of the Registration Data provided. Users guarantee and are responsible, in all cases, for the truthfulness, accuracy, integrity, validity, and authenticity of the Registration Data entered.

The User agrees to maintain the confidentiality of their Security Code. The Account is personal, unique, and non-transferable, and the same User is prohibited from registering or possessing more than one Account. The User will be responsible for all transactions carried out in their Account, as access to it is restricted to the entry and use of their Password, which is the sole responsibility of the User.

The User agrees to notify TivosGT immediately and by appropriate and reliable means of any unauthorized use of their Account, as well as access by unauthorized third parties. TivosGT hereby informs the User, who is aware that the sale, assignment, or transfer of the Account (including reputation and ratings) to any third party under any title is prohibited.

In the case of legal entity Users, the person who logs in and registers on the Site must have legal representation with administrative authority pursuant to the second paragraph of Article 2554 of the Federal Civil Code, in relation to Article 2 of the Commercial Code, granted before a notary public. Any person registering and/or using the Site on behalf of a legal entity assumes that they have sufficient authority to act in the name and on behalf of the legal entity and that said legal entity agrees to abide by these Terms and Conditions.

Minors or persons who have been temporarily suspended or permanently disqualified from engaging in commerce under the provisions of the Commercial Code may not contract services offered by TivosGT.

TivosGT, at its sole discretion, reserves the right to reject any contract request, including denying access to the Site or suspending or canceling any provision of Services, without being obligated to communicate or explain the reasons for its decision and without this generating any right to compensation or indemnification for the User, nor any liability for TivosGT.

V. ACCURACY OF USER INFORMATION

V.1. User Responsibility. The User agrees to provide information to TivosGT in a truthful, reliable, and verifiable manner for the purposes of the commercial and legal relationship between the parties, whether through the Site, User Registration forms, or other means provided by TivosGT and/or other means established with the User (email, mail, telephone, at TivosGT offices, among others). Furthermore, the User is solely responsible and obligated to keep their personal information up-to-date at all times.

The User, by accepting these Terms and Conditions, guarantees the authenticity of all data provided to TivosGT and any information that they may gradually update. The User is solely responsible for any damages caused by any inaccurate, false, untruthful, and/or trustworthy or incomplete information that may be inflicted on them, TivosGT, and/or third parties.

V.2. Prohibitions. The User understands that they may not create multiple accounts and/or use the Site by providing false or fraudulent information.

V.3. Verifications. TivosGT reserves the right to verify the information provided by the User. If it is found that the information, or part of it, is not true or does not correspond to the User who provided it, TivosGT may deactivate the User's Account and Registration, expiring the accepted Terms and Conditions (except for the criteria that will generally prevail in this case), denying the User access, without prejudice to any legal action that TivosGT deems appropriate to initiate against the User who has provided false information.

V.4. Sanction. TivosGT is not responsible for any violations by the User regarding this condition and, as the case may be, reserves the right to take extrajudicial and/or judicial action against the User in any matter that may be appropriate. or, for which expenses incurred must be fully covered by the User, without prejudice to also covering all compensation and/or payment of damages that may occur.

VI. USER ANTI-SPAM POLICIES

The User agrees to refrain from:

1. Collecting data from the Site for advertising purposes.

2. Transmitting, uploading, posting, emailing, or providing any promotional or advertising material and/or any type of communication, for sales or other commercial purposes, that was not requested and/or that does not have the prior authorization of the affected third parties.

3. Transmitting SPAM, chain letters, junk mail, or any other type of internal message and/or unsolicited bulk email from the Site.

In the event that the User breaches any of the aforementioned conditions, TivosGT is not liable for any breaches of this condition and, as the case may be, reserves the right to pursue extrajudicial and/or judicial actions against the User in any matter that may be appropriate. The User shall bear all costs incurred, without prejudice to also covering all compensation and/or payment of damages that may arise.

VII. LINKS TO THIRD-PARTY WEBSITES

The Site may contain links to other websites owned, operated, and/or controlled by third parties. The inclusion of links to third-party sites on the Site is for informational purposes only, for Customers who wish to obtain additional information when using the services on the Site.

Consequently, TivosGT is not responsible for the veracity and authenticity of the information provided on these third-party sites, accessible from hyperlinks on the Site, nor can it be inferred and/or interpreted that, based on the presence of these hyperlinks on the Site's pages, TivosGT recommends these sites, their content, and/or the services offered therein.

Due to the foregoing, the User understands and accepts that:

• These third-party sites have no legal relationship with TivosGT, which is not responsible for the content and information on these sites, for the services offered there, or for the availability of their content.

• Third-party sites are governed by their own terms and conditions of use, which are unrelated to this instrument.

In view of the foregoing, the User acknowledges and declares that they access and use these websites at their own risk, releasing TivosGT, if applicable, from any liability related to or arising therefrom.

VIII. DISCLAIMER

TivosGT informs the User, and the User is aware, that TivosGT is not and will not have any liability for damages or, where applicable, any compensation in the event of any of the events contained in this section.

VIII.1. The User acknowledges and declares that they access the Site at their own risk; therefore, TivosGT is not responsible for:

1. Errors, omissions, inaccuracies, and/or falsehoods in content published by Users, especially in their profiles.

2. Any damage or harm to the User caused by failures in the Site, TivosGT software, and/or its systems.

3. Any virus that may infect the User's equipment as a result of the latter's access to and/or use of the Site; therefore, the Client understands that use of this Site is at their own risk.

As a result of the foregoing, if the use of the Site results in the User having to incur repairs and/or corrections, or contracting any maintenance service for their computer equipment, these costs shall be fully and exclusively assumed by the User, without TivosGT having any liability for them. TivosGT excludes any liability for damages of any kind that may arise from the presence of viruses or other computer elements that could cause alterations to the systems, electronic documents, and/or accounts and profiles of Users.

VIII.2. TivosGT declares that the Site system may eventually be unavailable due to technical difficulties, internet failures, or reasons beyond TivosGT's control. Therefore, the User understands that TivosGT does not guarantee continuous and uninterrupted access to the Site and/or its sections. In the event of service interruption, TivosGT will make its best effort to restore the Site and its services promptly, without any obligation or liability arising from this for TivosGT, who is excluded from any liability for damages of any nature that may arise from the lack of availability and Continuity of the operation of the Site and the Services.

VIII.3. Regarding the permanent or occasional monitoring of the Site, the Content and information posted by Users, the internal messages they send, among other actions they perform and that are recorded and saved on the platform, the User understands and accepts that TivosGT has the right to do so electronically, from time to time, and to monitor any suspicious information and/or behavior by Users, at TivosGT's sole discretion, in compliance with the law, regulations, and/or governmental or regulatory requirements, to ensure the proper operation of the Site, as well as to protect itself and other Users of the Site from conduct that could be fraudulent and/or violate User rights.

IX. INTELLECTUAL PROPERTY

IX.1. Protected Content. All material on the Site and its Content, including, but not limited to, text, data, articles, designs, logos, trademarks, forms, documents, graphics, photos, images, content in general, its organization and compilation, source code, software, among others, and any other information contained on the Site, is the exclusive property of TivosGT and, consequently, is protected by Intellectual Property laws and the current and applicable International Treaties on this matter. Therefore, the User expressly understands and accepts the foregoing for all applicable legal purposes.

IX.2. Copyright and Industrial Property: The Site, its Content, and all intangible assets are the sole and exclusive property of TivosGT, which is the sole legal entity authorized to exploit them for its own benefit and to provide its Services. The name "TivosGT" and any and all logos accompanying it and/or used separately on the Site that serve to distinguish the products and/or services provided by TivosGT from others, trade names, commercial advertisements, or any distinctive sign appearing on the Site are the property, ownership, and/or license, solely and exclusively, of TivosGT.

Consequently, the User acknowledges, declares, and accepts that use of the Site and the Services does not grant them any rights over any of these Copyrights or Industrial Property Rights.

IX.3. User Prohibitions Regarding Intellectual Property

1. The Site, its Content, and, in general, no Copyright or Industrial Property Rights may be deleted, altered, manipulated, copied, modified, reproduced, reused, redistributed, republished, displayed, or posted by the User in any form or by any means, including, but not limited to, electronic, mechanical, recording, photocopying, among others, without the prior written authorization of TivosGT.

2. Nothing on the Site may be used by third parties without the prior written authorization of TivosGT, as required.

3. Access, downloading, transmission, and printing of any Content may be carried out by the User exclusively for personal use and only in connection with and based on proper use of the Services provided by TivosGT through the Site. 4. The use of TivosGT Content on any other site, including links to it on other websites, with or without the TivosGT logo(s) and name(s), is prohibited.

5. The User may not reproduce a "mirror" site of the Site in whole or in part, maintain it on other servers, or publish it on the Internet.

IX.4. Consequences of Unauthorized Use of TivosGT's Copyright and Industrial Property Rights. Any unauthorized use of the Site Content in accordance with this provision will constitute a violation of the laws and regulations regarding Copyright and Industrial Property. TivosGT recognizes its right to deactivate the User's Account and Registration, thereby terminating these Terms and Conditions and denying the User access as stipulated herein. This does not prejudice TivosGT's right to exercise all extrajudicial and judicial actions, both administrative, civil, and criminal, aimed at protecting its legitimate intellectual property rights lato sensu. TivosGT's defense expenses must be fully covered by the User, without prejudice to the User's responsibility to cover all compensation and/or payment of damages that may arise.

Any questions regarding the provisions herein must be directed directly to TivosGT by the User through any of its means of communication, which are already known to the User.

X. PRIVACY, CONFIDENTIALITY, AND INFORMATION SAFEGUARD POLICIES

In accordance with the Federal Law on Data Protection In accordance with the Privacy Policy for the Protection of Personal Data Held by Private Parties and its Regulations, TivosGT establishes the Site's Privacy Policies in its Privacy Notice, available at http://globaltrading.mx. The User agrees to carefully read and expressly accept these policies in order to browse the Site and use the Services offered therein.

XI. TERM AND MODIFICATIONS TO USE OF THE SITE

XI.1. Term. This document will remain in effect and will be effective while TivosGT maintains the Site in operation. TivosGT reserves the right to terminate the provision of the Site, its Content, and the Services provided through it, at any time, with prior notice to Users in the manner, time, and by the means determined by TivosGT.

Notwithstanding the foregoing, TivosGT may limit the use of the Site at its discretion in any of the cases previously mentioned and in any of the following cases:

1. If it is determined that the information provided by the User is false, incomplete, inaccurate, erroneous, and/or otherwise unreliable.

2. If the User engages in unauthorized use of the Site Content in accordance with the provisions of the PROHIBITION sections of this document.

3. If the User engages in any conduct or omission that violates the anti-spam provisions contained herein.

4. If the User commits any serious breach of their obligations arising from accepting this document and/or the Specific Agreements.

In such cases, the Terms and Conditions of Use of the Site and User Registration will be deemed to have expired from the moment TivosGT notifies the User by email to the address provided by the User.

However, the provisions addressing the following matters will survive the expiration of the Terms and Conditions of Use of the Site:

(i) Indemnification. (ii) User Representations and Warranties. (iii) Liabilities and Exclusions. (iv) Jurisdiction. (v) Any other matter that by its nature survives the termination of this Agreement.

XI.2. Modifications to the Terms and Conditions. TivosGT may, at any time and from time to time, amend, modify, add to, delete, and update these Terms and Conditions of Use of the Site, subject to acceptance by the User in any of the forms and by the means previously mentioned and determined by TivosGT. Consequently, TivosGT will promptly notify the User (when they attempt to access the Site) of any changes to the aforementioned Terms and Conditions by posting a digital notification. Such changes will become effective upon acceptance of the corresponding changes.

This is without prejudice to TivosGT's right to condition access to certain sections of the Site based on acceptance of the Specific Agreements relevant in each particular case.

XII. CONTACT

Communications that TivosGT must or wishes to send to the User, and vice versa, will be made: (i) via the email address designated and informed by TivosGT for these purposes on its Site; (ii) from the telephone numbers displayed on the Site, Monday through Thursday from 9:00 a.m. to 6:00 p.m. and Friday from 9:00 a.m. to 3:00 p.m.; or (iii) through the contact mechanisms established on the Site.

XIII. APPLICABLE LAW AND JURISDICTION

This document and the Specific Agreements are subject to and governed by the laws in force in the United Mexican States. Any conflict or controversy arising in relation to and/or from these Terms and Conditions of Use of the Site and/or its Specific Agreements will be submitted to the competent Courts of Mexico City.

For these purposes, and if applicable, it is understood that both the User and TivosGT hereby expressly waive any other jurisdiction that may apply to them due to their domicile or for any other reason.

In view of the foregoing, all legal proceedings arising from conflicts or controversies will be conducted in Spanish. Therefore, the User agrees to notify TivosGT in writing of any claim or dispute concerning or related to this Site and the Content and Services provided therein, granting TivosGT a reasonable period to respond before initiating any legal action against them.

XIV. DECLARATION AND ACCEPTANCE OF THE TERMS AND CONDITIONS

In this act, the User declares and acknowledges having read electronically or in printed form and understood the entire content of the Terms and Conditions, that he/she is familiar with their content and that he/she freely consents to all their terms and conditions.

If the User has read the Terms and Conditions electronically on the Site, the holder has accepted them on the date they registered on the Site by clicking on the checkbox with the legend: "I have read and accept the Terms and Conditions of Use of the Site."
